1. Service provider
Wiltan Digital is a web design and maintenance service operated by Emilio Williams. Contracts are concluded and invoices are issued through the business incubator Fundacja Firma Dla Każdego, ul. Lwowska 17/4, 00-660 Warszawa, Poland — NIP: 5252625624 · KRS: 0000569410 · REGON: 362170026 — registered as an active VAT taxpayer in Poland, acting as the legal contracting entity. 2. Services and service model
Wiltan Digital designs, builds and maintains websites under a Website-as-a-Service model. A one-time setup fee covers the design and build of the website. A recurring licence fee — payable monthly or per prepaid six-month or twelve-month package — covers: (i) a non-exclusive, non-transferable licence to use the website and its proprietary components while the licence is active; (ii) hosting and domain management on the provider's infrastructure; and (iii) operational maintenance, meaning software updates, automated backups, security monitoring and keeping the site online, including reasonable efforts to diagnose and restore the website if it stops functioning. The website operates on the provider's infrastructure and remains functional only while the licence is active.
Support levels. Technical support is provided on business days (Monday to Friday, excluding Polish public holidays). For critical incidents — the website fully offline or its core functions (loading, contact form, checkout where applicable) inoperative — diagnosis begins within 24 to 48 hours counted in business days from notification by email or WhatsApp. Non-critical incidents are handled in order of receipt within a reasonable period. 24/7, weekend or emergency support is not included; these response times refer to the start of diagnosis, not to guaranteed resolution times, which depend on the nature of the failure and on third parties.
Exclusions. The licence fee does not include visual or structural changes (texts, images, colours, fonts or new sections), new features or the loading of new content. Any such request is quoted separately as new, independent work.
3. Quotes, prices and VAT
Prices shown on this website are indicative starting points in EUR and may vary depending on the scope of each project. Every project begins with a written quote stating a fixed price and scope. Only the written quote is binding. Prices are stated net of VAT. For business clients with a valid EU VAT number (verified in VIES) and a matching business name and address, invoices are issued under the reverse charge mechanism (0% VAT in Poland; the client accounts for VAT in their own country). For Polish clients and for private individuals (consumers), Polish VAT at the applicable rate (currently 23%) is added to the invoice.
4. Payment, billing cycles and invoicing
- Setup fee: 50% before work begins and 50% upon delivery of the functional website. The website is deemed delivered when the provider notifies the client that it is functional at the agreed address, and deemed accepted if the client does not raise substantiated objections in writing within seven (7) days of that notice. The final payment may not be withheld on account of change requests outside the agreed scope or beyond the included revision rounds.
- Licence fee: payable in advance for each period of the selected billing cycle — monthly, or as a prepaid six-month package (five monthly fees, one month free) or twelve-month package (ten monthly fees, two months free). Package discounts apply only to full periods paid in advance.
- Invoicing: automatic recurring charging is not used. Each period is invoiced individually and in advance by Fundacja Firma Dla Każdego. Invoices are payable by the due date stated on the invoice — by default seven (7) days from the invoice date and before the start of the period concerned — and a licence period is activated once its invoice is paid in full.
- Price adjustments: the licence fee (including package prices) may be updated with at least 30 days' written notice by email, taking effect from the next licence period. Periods already paid for are not affected, and clients who do not accept the new fee may cancel before it takes effect, without penalty.
5. Client cooperation and revisions
The setup fee includes up to two (2) rounds of revisions on the proposed design and structure. A revision round means one consolidated set of feedback delivered by email in a single document or single consolidated list, within five (5) business days of delivery of the corresponding draft. Feedback scattered across multiple separate messages does not constitute a valid round and may be required to be consolidated into one list, which then counts as one round. If no consolidated feedback is received within that window, the draft is deemed approved for that round. Additional changes, or changes requested after final delivery, are quoted separately as new work.
The client agrees to provide the materials, information, feedback and approvals needed for the project within a reasonable time; any delay by the client automatically extends the agreed delivery dates by a period at least equivalent to the delay. If the client remains unresponsive for 30 consecutive days after a formal request sent by email or WhatsApp, the project may be considered abandoned; in that case the first 50% payment is retained as compensation for work performed and reserved capacity, and the project files are kept for 100 further days before permanent deletion.
6. Late payment of the licence fee
- After 31 days of non-payment, the website may be taken offline and the licence suspended.
- After 60 days, Wiltan Digital is released from responsibility for the domain name, which may expire or become available to third parties, the client assuming that risk in full.
- After 100 days, the contract is considered terminated for non-payment, the site may be removed from active servers and system files may be deleted.
Overdue amounts may accrue statutory interest for late payment; suspension of the website does not cancel amounts already due. Reactivation, where technically feasible, requires payment of all outstanding amounts, one licence period of the selected cycle in advance, and a non-refundable reactivation fee of €150 covering the restoration attempt only. If, upon restoring the backup, the website does not function correctly or requires complex repairs due to the period of inactivity, the provider may decline to repair it or to continue the service.
7. Acceptable use and immediate suspension
The website may be suspended immediately and without prior notice if it, or the client's use of it: (i) is used for illegal activities or to publish unlawful content; (ii) infringes third-party rights, including copyright, trademarks or image rights; (iii) distributes malware, spam or phishing; or (iv) endangers the security, stability, performance or reputation of the provider's servers, infrastructure or other clients. The client will be notified of the suspension and its reasons as soon as reasonably possible, and the website will be restored once the cause has been remedied. Suspension under this section does not release the client from payment obligations for the period concerned, and repeated or serious misuse constitutes grounds for immediate termination without refund.
8. Intellectual property, licence and client content
The hosting environment, servers, API keys, templates, third-party integrations and all code and design created by Wiltan Digital are and remain its exclusive property. The licence fee grants a licence of use only; the client acquires no right to access, copy, modify or transfer these components, and reverse engineering of components not covered by open-source licences is prohibited. Open-source components included in the website carry the rights granted by their respective licences. Wiltan Digital may present the delivered website and the client's trade name and logo in its portfolio and marketing materials, unless the client objects in writing.
Content supplied by the client (texts, images, product data) remains the client's property at all times. Upon termination with payments up to date, the client receives within fifteen (15) working days their texts and images and, for e-commerce projects, the product and price list in CSV format, and the domain is transferred to a registrar of the client's choice; the administrative handling of the transfer is free of charge, while any external transfer or registration fees are paid by the client directly to the relevant external providers. Personal data captured through the website's forms belongs to the client as data controller and is delivered to the client upon termination in all cases, regardless of payment status. Source code, complete system databases, plugin configurations and third-party payment gateway histories are not deliverable, as they form part of the provider's licensed infrastructure.
9. Cancellation and termination
- By the client: the client may cancel the licence at any time with two (2) weeks' notice before the next billing date, by email sent to contact@wtdigital.studio with a copy to b2b@firmadlakazdego.pl; the notice is effective once sent to both addresses. Cancellation takes effect at the end of the last period paid for, when the website ceases to operate and the licence ends. No refunds are made for unused periods, including unused months of prepaid six-month or twelve-month packages. Where setup work is still in progress, the client pays for the portion of the work completed.
- By the provider: Wiltan Digital may terminate the service with ninety (90) days' notice by email, delivering a backup of the client's own content (texts, images, product data and captured form data) and the credentials needed for migration. If the provider terminates for operational reasons without fault or breach by the client, it additionally delivers a full standard site export containing the design, structure and layout of the website, enabling migration to the client's own hosting; active third-party plugin, theme and builder licences and the provider's API keys are excluded, and the client must acquire equivalent licences or engage their own developer to operate the migrated site.
- Consumers within the EU have a 14-day right of withdrawal from distance contracts; by requesting that work begin during this period, the consumer acknowledges that the right of withdrawal is lost once the service has been fully performed, and that early withdrawal may be charged proportionally to work completed.
10. Liability
Except in cases of intent or gross negligence, liability is excluded for indirect damages, loss of profit or loss of business, and for failures caused by circumstances outside Wiltan Digital's direct technical control, including cyber-attacks, failures or changes in external APIs and payment gateways, hosting infrastructure outages, suspension of services by the invoicing entity, or automatic updates of third-party software causing incompatibilities. In such cases reasonable efforts will be made, within the support levels described in section 2, to diagnose and restore the website. The client must notify any detected failure as soon as possible. Wiltan Digital does not guarantee any specific commercial results, search-engine positions, traffic levels or revenue derived from the website. Total liability for proven contractual claims is limited to the equivalent of twelve base monthly fees paid by the client or, for e-commerce projects, the higher of that amount or the setup fee paid. Nothing in these terms limits rights that consumers hold under mandatory law in their country of residence.
11. Third-party services
Websites may integrate third-party services such as payment gateways, booking tools or automated chat assistants. Wiltan Digital does not guarantee the availability or performance of third-party services and is not a party to the client's relationship with those providers; claims for failed payments, fraud or chargebacks are handled between the client and the payment gateway provider. Clients operating websites that collect personal data from their own users are responsible for their own privacy policy and legal texts; Wiltan Digital provides only the technical placement of such texts.
12. Governing law and disputes
These terms are governed by Polish law. Disputes will be submitted to the competent courts of Warsaw, Poland. Consumers may also rely on the mandatory consumer protection rules and courts of their EU country of residence, and may use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
13. Changes to these terms
These terms may be updated; the current version with its date is always published on this page. For ongoing services, material changes will be notified at least 30 days in advance, and clients who disagree may cancel without penalty before the changes take effect.
